跨國研發中心設於中國之現況與法律環境研究

Abstract

隨著企業全球化的佈局，跨國公司的研發活動也日益朝著全球化方向發展。隨著研發活動往開發中國家移動，中國便成為各國海外研發中心的首選之地。為了取得中國廣大的市場及利用充沛的資源，各國加大了在中國投資的力度和廣度，越來越多的研發中心在中國設立。而本論文研究目的便希望了解這一波趨勢在中國的發展現況，與歷年來外商企業與外資政策、法律層面之間的互動關係。

本論文以中國加入WTO的時間點為切割，論述前後階段科技、外資政策的演變與研發中心相關法律之內容，並佐以研發中心發展現況與未來趨勢來觀察，希望能呈現外商在中國研發中心最真實的面貌。

最後以兩岸之間對於研發中心設立之誘因做個比較，並以外商在中國發展的成果為基礎，提出對於政府西進政策之建議，期許政府能對中國投資限制加以鬆綁，有利於台灣企業深耕本土進而全球化佈局。

As enterprise globalizing, the R&D activities of worldwide corporations also become internationally. China has become the first choice of oversea R&D center location as more and more of research actives are conducting in developing countries. For market share and resource utilization in China, many countries are expanding their investment in China and setting up R&D centers. This thesis investigates the trend of the development in China and the interactive relationship between oversea companies and strategies to oversea company, base of the law.

This thesis describes the changes and development of technology policy, strategy to oversea company and relative law of R&D center before and after China joined WTO; and, assist with the observation of current development of R&D center and the future trend, it is expecting to reveal the real situation of R&D center of oversea company in China.

Finally, the thesis also compares the inducements of R&D center setup between Taiwan and China, which provides suggestions to the government for China investment strategy base on the efforts of oversea company development in China; and looking forward to relaxing the China investment limitation by the government which will offer benefits to Taiwanese company localization and globalization.
